Terms of Service

These Terms of Service ("Terms") govern your use of the LicenseTrim website and service ("Service") operated from the Netherlands. By using LicenseTrim, you agree to these Terms. If you do not agree, do not use the Service.

1. Service description

LicenseTrim is a web-based tool that connects to your Zendesk instance via Zendesk's official OAuth flow, analyzes agent login activity, and generates reports identifying inactive licenses and their associated costs. The Service requests read-only access (users:read scope) and cannot modify your Zendesk data.

2. Eligibility

You must be at least 16 years old and have authority to bind the organization on whose behalf you are using the Service. By connecting a Zendesk instance, you represent that you have administrative access to that instance and authorization to share its user data with LicenseTrim.

3. Account and access

• You are responsible for maintaining the security of your account credentials and OAuth connections.
• You must not share your account with unauthorized persons or use the Service to access Zendesk instances you do not have permission to analyze.
• You agree to notify us promptly at hello@licensetrim.com if you become aware of any unauthorized use of your account.

4. Free analysis and trial

• LicenseTrim offers a free one-time analysis scan and a 60-day free trial of paid features.
• Free and trial services are provided "as is" without warranty. We may modify or discontinue free services at any time without notice.
• At the end of your trial, your account becomes read-only. No data is deleted unless you request it.

5. Paid subscriptions

5.1 Plans and pricing

Paid plans are billed monthly or annually as selected at signup. Current pricing is listed on our pricing page. Prices are in euros and exclude applicable taxes.

5.2 Billing

Subscription fees are charged in advance for each billing period. You authorize us to charge your selected payment method on a recurring basis until you cancel.

5.3 Plan changes

You may upgrade or downgrade your plan at any time. Upgrades take effect immediately; downgrades take effect at the start of the next billing period.

5.4 Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. We do not provide prorated refunds for unused time within a billing period.

5.5 Refunds

If you are unhappy with the Service within the first 30 days of a paid plan, contact us and we will issue a full refund. After 30 days, fees are non-refundable.

6. Your data

6.1 Ownership

You retain all ownership rights to your data, including the Zendesk user data we process on your behalf. We do not claim any ownership over your data.

6.2 License to process

You grant LicenseTrim a limited, non-exclusive, worldwide, royalty-free license to process your data solely to provide, maintain, and improve the Service. This license terminates when you delete your account.

6.3 Aggregate data

We may create de-identified, aggregated data derived from your usage of the Service (e.g., industry benchmarks). This data cannot identify you, your company, or any individual. We may use aggregate data for any purpose, including product development and marketing.

6.4 Data handling

Our collection and use of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference.

7. Your obligations

You agree to:

• Have all necessary authorizations to connect your Zendesk instance and share user data with LicenseTrim.
• Comply with applicable privacy laws, including informing your Zendesk users as required by your local data protection obligations.
• Comply with Zendesk's own terms of service when acting on LicenseTrim's recommendations (e.g., downgrading or removing agents).
• Not use the Service for any unlawful purpose or to violate any third party's rights.
• Not attempt to reverse-engineer, decompile, or extract the source code of the Service.

8. Intellectual property

LicenseTrim owns all rights to the Service, including its design, code, analysis algorithms, reports format, documentation, and branding. These Terms do not grant you any rights to use our trademarks, logos, or brand elements.

9. Third-party services

The Service integrates with Zendesk via their official API. LicenseTrim is not affiliated with, endorsed by, or sponsored by Zendesk, Inc. We are not responsible for:

• Zendesk's availability, data accuracy, or API changes.
• Any changes Zendesk makes to their pricing, seat policies, or terms of service.
• Actions you take in Zendesk based on LicenseTrim's recommendations (e.g., downgrading agents).

Your use of Zendesk is governed by your agreement with Zendesk, Inc.

10. Cost estimates disclaimer

LicenseTrim calculates savings estimates based on Zendesk's published list prices and the roles assigned to agents in your instance. Actual costs may differ due to:

• Negotiated contract pricing or volume discounts
• Add-ons and bundled features
• Zendesk pricing changes
• Contractual restrictions on mid-term seat reductions

Our estimates are informational and should be verified against your actual Zendesk contract before taking action.

11. Warranty disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

• The Service will be uninterrupted, error-free, or free of harmful components.
• Our analysis will identify all inactive licenses or that all identified licenses are safe to remove.
• Our cost estimates will match your actual Zendesk billing.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• LICENSETRIM'S TOTAL LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE TERMS SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO LICENSETRIM IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
• IN NO EVENT SHALL LICENSETRIM BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, REGARDLESS OF THE CAUSE OF ACTION OR THE THEORY OF LIABILITY.

This limitation applies in aggregate, not per incident. It does not apply to liability that cannot be excluded or limited under applicable law.

13. Indemnification

You agree to indemnify and hold LicenseTrim harmless from any claims, damages, or expenses (including reasonable legal fees) arising from:

• Your use of the Service in violation of these Terms.
• Your violation of any third party's rights, including Zendesk's terms of service.
• Any data you provide that violates applicable law.

14. Termination

14.1 By you

You may stop using the Service and request account deletion at any time by contacting us at hello@licensetrim.com.

14.2 By us

We may suspend or terminate your access if you violate these Terms. Where practicable, we will provide 14 days' written notice and an opportunity to cure the breach before termination, except in cases of serious violations (fraud, abuse, or illegal activity).

14.3 Effect of termination

Upon termination:

• Your right to use the Service ends immediately.
• You may request export of your data within 30 days of termination.
• We will permanently delete all your data, including Zendesk user data, within 30 days of termination unless legally required to retain it.
• Sections 6.3 (Aggregate data), 8 (Intellectual property), 11 (Warranty disclaimer), 12 (Limitation of liability), 13 (Indemnification), and 16 (Governing law) survive termination.

15. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or by posting a notice on the Service at least 30 days before the changes take effect. Continued use of the Service after that date constitutes acceptance of the updated Terms.

16. Governing law and disputes

These Terms are governed by the laws of the Netherlands, without regard to conflict of law principles. Any disputes arising from these Terms shall be submitted to the competent courts in the Netherlands.

17. Miscellaneous

• Entire agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and LicenseTrim.
• Severability: If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect.
• No waiver: Our failure to enforce any provision does not constitute a waiver of that provision.
• Assignment: You may not assign these Terms without our prior written consent. We may assign our rights and obligations in connection with a merger, acquisition, or sale of assets.
